These Terms of Service ("Terms") govern your access to and use of latimermedical.com, related online services, and purchases from Latimer Medical LLC ("Latimer Medical," "we," "us," or "our"). By accessing the website, creating an account, submitting an order, or otherwise using the services, you agree to these Terms.

Please read these Terms carefully. If you do not agree, do not use the website or submit an order.

1. RELATED POLICIES

Our Privacy Policy, Return and Refund Policy, Shipping Policy, Legal Notice, product-page disclosures, and any other terms presented and accepted before purchase are incorporated into these Terms. If a product-specific term conflicts with a general term, the more specific term controls for that product to the extent permitted by law.

2. ELIGIBILITY AND AUTHORITY

You must be at least the age of legal majority in your place of residence and legally able to enter into a binding agreement. If you use the website or place an order for a business, healthcare organization, government entity, caregiver, patient, or other person, you represent that you have authority to act for that person or entity and to provide the information submitted.

You may not use the website or purchase products when doing so would violate applicable law, professional rules, licensing requirements, contractual restrictions, sanctions, or product labeling.

3. ACCOUNTS AND SECURITY

You are responsible for providing accurate, current, and complete account and order information. You are responsible for safeguarding account credentials and for activity conducted through your account, except to the extent caused by our failure to use legally required safeguards.

Notify us promptly at sales@latimermedical.com if you suspect unauthorized account use, payment activity, or access. We may suspend or restrict an account when reasonably necessary to protect customers, Latimer Medical, or the website.

4. NO MEDICAL ADVICE OR PROVIDER RELATIONSHIP

Website content, customer-service communications, product descriptions, educational material, and general product-selection information are provided for commercial and informational purposes. They are not medical advice, diagnosis, treatment, a prescription, or a substitute for advice from a qualified healthcare professional.

Use of the website or purchase of a product does not create a physician-patient, clinician-patient, pharmacist-patient, or other professional healthcare relationship with Latimer Medical.

Ask an appropriately licensed healthcare professional whether a product is suitable for a particular person, condition, setting, or intended use. Do not disregard professional advice or delay care because of information on the website.

5. EMERGENCIES AND CONTINUITY OF CARE

Latimer Medical is not an emergency medical service. The website, email, telephone line, and order system are not monitored for medical emergencies.

Call 911 or the appropriate emergency service for an emergency. Do not rely on product availability, order processing, shipping, delivery estimates, or website communications for emergency treatment or uninterrupted access to medically necessary supplies. Maintain an appropriate backup supply and continuity plan in consultation with a healthcare professional.

6. PRODUCT SELECTION, LABELING, AND SAFE USE

You are responsible for reviewing the product description and confirming that the selected product, size, model, quantity, compatibility, specifications, and intended use meet your needs before ordering.

Always inspect the product and packaging before use. Read and follow the current manufacturer's labeling, instructions for use, warnings, indications, contraindications, storage conditions, expiration date, maintenance requirements, and safety notices. Manufacturer labeling supplied with the product controls over a general website summary if there is a difference.

Do not use a product that is damaged, expired, recalled, contaminated, improperly stored, missing required labeling, or otherwise appears unsafe. Do not alter, repackage, relabel, misuse, or use a product outside its lawful intended purpose.

Professional-use products should be selected, installed, operated, and maintained only by persons with appropriate qualifications, training, supervision, and facilities.

7. PRESCRIPTION, RESTRICTED, AND PROFESSIONAL-USE PRODUCTS

Some products may be available only by prescription, on the order of a licensed practitioner, to licensed or qualified purchasers, for specified facilities, or subject to other legal or manufacturer restrictions.

We may require a prescription, professional license, facility credential, identity verification, intended-use information, signed acknowledgement, or other documentation before accepting or fulfilling an order. We may decline or cancel an order when documentation is incomplete, cannot be verified, or does not support lawful sale or shipment.

Do not submit prescriptions, diagnoses, medical records, insurance identifiers, or other protected or sensitive health information through ordinary checkout fields, order notes, public reviews, website chat, or standard email. Contact us first. When documentation is necessary, use only the separate secure method that we designate.

8. PRODUCT INFORMATION AND REGULATORY DESCRIPTIONS

We make reasonable efforts to present accurate product names, descriptions, images, dimensions, ingredients or materials, model numbers, manufacturer information, and regulatory status. Manufacturers may change packaging, labeling, color, components, or specifications without advance notice. Images may be illustrative and display settings may affect appearance.

A reference to FDA clearance, approval, authorization, registration, listing, or another regulatory status has only the meaning supported by the applicable manufacturer or government record. Facility registration or device listing is not the same as FDA approval, clearance, certification, authorization, or endorsement. We do not claim that a product is "FDA certified" unless a lawful and verifiable certification specifically exists.

Contact us before purchase if a particular specification, package configuration, regulatory status, country of origin, lot characteristic, or manufacturer detail is material to your decision.

9. ORDERS AND CONTRACT FORMATION

Submitting an order is an offer to purchase under these Terms. An automated order confirmation acknowledges receipt but does not necessarily constitute acceptance. We accept an order when we confirm acceptance, begin fulfillment, or ship the product, depending on the circumstances.

We may accept or reject all or part of an order. We may hold, limit, or cancel an order for reasons including inventory shortage, payment failure, suspected fraud, pricing or product-information error, shipping restriction, safety concern, purchase-quantity limit, credential issue, manufacturer restriction, resale concern, or inability to verify required information.

If we cancel an order before shipment, we will refund amounts paid for the cancelled items and related charges as required by law.

10. QUANTITY LIMITS, RESALE, AND EXPORT

We may establish quantity limits or require additional review for unusually large, frequent, or repetitive orders. Unless we approve otherwise in writing, products are sold for lawful use in the United States and not for unauthorized export, diversion, resale, relabeling, or distribution.

A business purchaser remains responsible for all licensing, storage, traceability, reporting, tax, resale, professional-use, and regulatory duties applicable to its operations.

11. PRICES, PAYMENT, AND TAXES

Prices are stated in U.S. dollars unless indicated otherwise. Prices, promotions, availability, and product information may change before an order is submitted. The price shown in the accepted order, together with applicable shipping, taxes, and disclosed charges, governs the transaction.

You authorize us and our payment providers to charge the payment method submitted for the order and any authorized adjustment. You represent that you are authorized to use that payment method. We may require payment verification or cancel an order if authorization fails or fraud is suspected.

You are responsible for applicable sales, use, excise, or similar taxes except taxes imposed on Latimer Medical's net income. Tax-exempt purchasers must provide valid documentation and satisfy our verification process before an exemption is applied. A tax refund or correction is not guaranteed after an order is completed.

Obvious pricing, typographical, or calculation errors may be corrected. If an error affects an order, we may contact you for approval of the corrected terms or cancel and refund the affected item.

12. AVAILABILITY, BACKORDERS, AND SUBSTITUTIONS

Inventory information is an estimate and can change. We do not guarantee availability until an order is accepted and fulfilled.

If shipment will be delayed, we will provide notice and any cancellation or refund option required by applicable law. We will not substitute a materially different product without your agreement. A manufacturer packaging update that does not materially change the ordered product is not necessarily a substitution.

13. SHIPPING AND DELIVERY

Shipping destinations, processing estimates, delivery terms, address responsibilities, damage procedures, lost-package procedures, and special-handling restrictions are described in our Shipping Policy.

Shipping and delivery dates are estimates unless expressly guaranteed in writing. Expedited carrier service does not necessarily mean expedited order processing.

14. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, refunds, exchanges, damaged or defective items, recalls, and cancellation requests are governed by our Return and Refund Policy and any product-specific terms disclosed before purchase.

Routine returns are limited to eligible unused and unopened products. Claims involving damage, defect, incorrect shipment, recall, or another nonconformity are reviewed separately and are not automatically barred merely because packaging was opened when reasonably necessary to discover the issue.

15. MANUFACTURER WARRANTIES, PRODUCT CLAIMS, AND RECALLS

A product may include a warranty issued by its manufacturer. Manufacturer warranties are governed by the manufacturer's terms, limitations, claim procedures, and eligibility requirements. Latimer Medical does not enlarge or independently adopt a manufacturer warranty unless we expressly do so in writing.

Any express warranty made directly by Latimer Medical will be stated in writing. Nothing in these Terms excludes or limits a warranty, remedy, or right that cannot lawfully be excluded or limited.

For a suspected defect or safety issue, stop using the product when appropriate and contact us. We may direct you to a manufacturer warranty process or coordinate another remedy. Products subject to a recall must be handled according to the recall notice, manufacturer instructions, and applicable law.

16. INSURANCE, MEDICARE, MEDICAID, FSA, AND HSA

Product eligibility for Medicare, Medicaid, private insurance, an employer plan, a flexible spending account, or a health savings account depends on the customer, product, prescription or order requirements, supplier status, plan terms, coding, documentation, and other factors outside our control.

Unless Latimer Medical expressly confirms otherwise in writing for a particular transaction, purchase through the website is a direct-pay transaction and the customer is responsible for payment and for seeking any reimbursement. We do not guarantee coverage, medical necessity, coding, claim approval, or reimbursement.

Confirm requirements with the applicable plan administrator, insurer, program, tax adviser, and healthcare professional before purchase. A denied claim or reimbursement request does not make an otherwise ineligible product returnable.

17. PRIVACY AND SENSITIVE INFORMATION

Our collection, use, and disclosure of personal information are described in our Privacy Policy. Review that policy before using the website.

Do not place confidential clinical information or protected health information in general website forms, checkout fields, order notes, public reviews, chat, or ordinary email. When sensitive documentation is required, contact us and use only the secure process we identify.

No method of internet transmission or storage is completely secure. You are responsible for using reasonable safeguards when communicating with us and for not sending sensitive information through an unapproved channel.

18. ELECTRONIC COMMUNICATIONS

You consent to receive order confirmations, receipts, policy notices, shipping updates, delay notices, recall or safety communications, account messages, and other transactional communications electronically at the contact information you provide. Keep that information current.

Marketing email or text messages are governed by the consent presented at signup and applicable law. You may withdraw marketing consent through the provided method without affecting necessary transactional or safety communications.

19. INTELLECTUAL PROPERTY

The website and its original text, design, graphics, logos, layout, software, and other content are owned by or licensed to Latimer Medical and are protected by applicable intellectual-property laws. Manufacturer names, product names, photographs, and marks belong to their respective owners.

We grant you a limited, revocable, nonexclusive, nontransferable right to access the website for lawful personal or internal business purchasing purposes. You may not copy, scrape, reproduce, republish, modify, distribute, sell, reverse engineer, frame, or commercially exploit website content except with written permission or as allowed by law.

20. REVIEWS, FEEDBACK, AND SUBMISSIONS

When you submit a review, comment, image, suggestion, or other nonconfidential content, you represent that you have the right to submit it and that it is accurate, lawful, and does not violate another person's rights.

You grant Latimer Medical a nonexclusive, worldwide, royalty-free license to use, reproduce, edit for length or clarity, display, distribute, and create derivative works from that content for operating and promoting the business, subject to our Privacy Policy and applicable law.

Do not include patient names, photographs, diagnoses, prescriptions, medical records, insurance information, or other sensitive information in a review or public submission. We may remove content that is unlawful, misleading, abusive, promotional, irrelevant, unsafe, or inconsistent with these Terms, but we are not obligated to monitor all submissions.

21. PROHIBITED USES

You may not:

- Use the website or products for an unlawful, fraudulent, deceptive, abusive, or unsafe purpose.
- Misrepresent identity, qualifications, authority, prescription status, intended use, tax status, or payment authorization.
- Attempt to purchase, export, divert, resell, or distribute a restricted product unlawfully.
- Interfere with the website, introduce malware, bypass security, probe vulnerabilities, or access data without authorization.
- Scrape, harvest, or use automated systems in a way that burdens the website or violates rights.
- Submit false reviews, infringing content, confidential information, or another person's sensitive information without authorization.
- Remove or alter product labels, serial numbers, lot numbers, expiration dates, warnings, or traceability information.
- Use a product contrary to its labeling, a recall, applicable law, or professional requirements.

We may investigate, restrict access, cancel orders, preserve evidence, and cooperate with authorities or rights holders when reasonably appropriate.

22. THIRD-PARTY SERVICES AND LINKS

The website may use or link to third-party services, including Shopify, payment processors, carriers, manufacturers, analytics providers, and external websites. Third parties may have separate terms and privacy practices.

A link or integration does not mean Latimer Medical controls, guarantees, or endorses all third-party content or conduct. To the extent permitted by law, use of a third-party service is at your discretion and subject to that provider's terms.

23. WEBSITE AVAILABILITY AND CORRECTIONS

We may modify, suspend, or discontinue website features and may correct errors or omissions. We do not guarantee uninterrupted, error-free, or fully secure access.

We may update product information and these Terms prospectively. A correction does not permit us to avoid an accepted obligation or a right that cannot lawfully be limited.

24. WEBSITE AND INFORMATIONAL DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL INFORMATIONAL SERVICES ARE PROVIDED ON AN "AS AVAILABLE" BASIS. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL CODE, OR THAT GENERAL INFORMATION WILL BE SUITABLE FOR EVERY PERSON OR PURPOSE.

THIS SECTION DOES NOT DISCLAIM OR LIMIT AN EXPRESS WRITTEN PRODUCT WARRANTY, A MANUFACTURER WARRANTY THAT APPLIES TO YOU, OR ANY IMPLIED WARRANTY, REMEDY, PRODUCT-LIABILITY RIGHT, OR CONSUMER PROTECTION THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

25. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATIMER MEDICAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE WEBSITE, OR FROM A DELAY OUTSIDE OUR REASONABLE CONTROL, WHEN SUCH DAMAGES WERE NOT REASONABLY FORESEEABLE OR ARE LAWFULLY EXCLUDABLE.

THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING APPLICABLE LIABILITY FOR PERSONAL INJURY CAUSED BY A DEFECTIVE PRODUCT, FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR VIOLATION OF A NONWAIVABLE CONSUMER RIGHT.

26. RESPONSIBILITY FOR UNLAWFUL OR COMMERCIAL MISUSE

To the extent permitted by law, a business purchaser or person acting outside a personal, family, or household purpose is responsible for losses, claims, and reasonable costs caused by its unlawful resale, export, relabeling, modification, distribution, credential misrepresentation, or use of a product contrary to labeling or law.

This section does not require a consumer to indemnify Latimer Medical for Latimer Medical's own negligence, defective product, breach, or violation of law.

27. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs any valid arbitration agreement separately accepted by the parties and federal law applies where controlling.

No mandatory arbitration agreement or class-action waiver is created by these Terms. Before filing a claim, the parties are encouraged to contact each other and attempt in good faith to resolve the issue informally.

Subject to applicable law and any valid separate written agreement, a legal action arising from these Terms may be brought in a state or federal court with jurisdiction in Minnesota. Consumers retain any right to bring a claim in another forum that applicable law does not permit these Terms to restrict.

28. CHANGES TO THESE TERMS

We may revise these Terms prospectively by posting an updated version with a new effective date. The version in effect when an order is placed generally governs that transaction, except when a later change is required by law or is more favorable to the customer.

Material changes will be communicated when required by law. Continued website use after an updated version becomes effective constitutes acceptance of the updated Terms for future use.

29. GENERAL TERMS

If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only.

You may not assign rights or obligations under these Terms without our written consent, except where applicable law provides otherwise. We may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the business, subject to applicable law.

These Terms and the incorporated policies are the entire agreement concerning the website and covered purchases, except for a separate written agreement signed by authorized representatives of the parties.
